These Terms & Conditions govern your use of the Darvix Technologies website and the provision of services by Darvix Technologies. Please read them carefully before using our site or engaging our services. By proceeding, you agree to be bound by these terms in accordance with applicable Indian law.

1. Acceptance of Terms

By accessing or using the Darvix Technologies website (darvixai.com) or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

2. Services

Darvix Technologies provides software engineering, AI integration, mobile and web development, platform engineering, system architecture, and digital marketing services ("Services"). The specific scope, deliverables, timelines, and commercial terms for each engagement are agreed in a separate Statement of Work or contract between Darvix and the client.

3. Intellectual Property

Upon full payment of all invoices for a given project, all code, designs, and deliverables created specifically for the client ("Work Product") are transferred to the client in full. Darvix retains no licence, rights, or claim over client-specific Work Product after transfer. Darvix retains all rights to its internal tools, frameworks, libraries, and methodologies developed independently of any client engagement. Any pre-existing Darvix IP incorporated into deliverables is licensed to the client on a perpetual, royalty-free, non-exclusive basis for use in connection with the delivered project.

4. Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with an engagement. Darvix will not disclose client data, business information, or technical details to third parties without prior written consent, except as required by law. Project details may be referenced anonymously in portfolio or marketing materials unless the client requests otherwise in writing.

5. Payment Terms

Payment terms are defined in the relevant Statement of Work or invoice. Unless otherwise agreed, invoices are due within 14 days of issue. Late payments may attract interest as per the applicable provisions of Indian commercial law and as specified in the relevant contract.

6. Warranties and Liability

Darvix warrants that services will be performed with reasonable skill and care in accordance with industry standards. To the maximum extent permitted by applicable Indian law, Darvix's total liability arising out of or in connection with any engagement shall not exceed the fees paid by the client in the three months preceding the claim. Darvix shall not be liable for indirect, consequential, or incidental losses, loss of profits, or loss of data arising from use of our services or website.

7. Termination

Either party may terminate an engagement by providing written notice as specified in the relevant Statement of Work. The client remains liable for payment of all work completed up to the date of termination. Darvix may suspend or terminate services immediately if a client breaches these terms or fails to make payment.

8. Website Use

You may use our website for lawful purposes only. You must not: • Attempt to gain unauthorised access to any part of our systems • Transmit any harmful, offensive, or unlawful content • Use automated tools to scrape or harvest data from our website We reserve the right to restrict access to our website at our discretion.

9. Data Protection

Darvix processes personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000. Please refer to our Privacy Policy for full details on how we collect, use, and protect your data.

10. Third-Party Links

Our website may contain links to third-party websites. These are provided for convenience only. Darvix has no control over and accepts no responsibility for the content or practices of third-party sites.

11. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in India. The parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.

12. Changes to These Terms

We may update these Terms & Conditions from time to time. The date at the top of this page reflects the most recent revision. Continued use of our website or services after any changes constitutes acceptance of the updated terms.
